Terms of Service

1. Agreement and Parties

These Terms of Service ("Terms") constitute a legally binding agreement between RootLogic Consulting LLC, a limited liability company ("RootLogic," "we," "us," or "our") and the individual or entity accessing or using the RootLogic PMO Hub platform and associated services ("Subscriber," "you," or "your").

By clicking "I Agree," creating an account, or using the Platform, you represent that you have authority to bind yourself or your organization to these Terms.

2. The Platform and Services

2.1 Platform Description

RootLogic PMO Hub is an AI-powered project management platform for Salesforce consulting firms and implementation teams. It provides access to Doris, an AI Chief of Staff, and a team of 47+ specialist AI agents covering project delivery, quality assurance, security monitoring, data health, and related services.

2.2 Intended Use — Project Management Only

The Platform is designed and intended exclusively for project management purposes. It is not intended, designed, or approved for legal advice, medical advice, financial advice, compliance certification, or any use outside the scope of planning, managing, and delivering projects.

2.3 Subscription Plans

Access to the Platform is provided via subscription plans as described at rootlogic.app/pricing. Features available under each plan are described at the time of subscription and may be updated by RootLogic with thirty (30) days advance notice.

2.4 AI Features

AI-generated content, including recommendations from Doris and all specialist agents, is for informational and project management purposes only and does not constitute professional legal, financial, regulatory, or Salesforce architectural advice. All AI outputs require human review and verification before implementation.

3. Permitted Use and License

Subject to these Terms and payment of applicable fees, RootLogic grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your own internal business purposes in connection with your own registered Salesforce organization(s).

3.1 One Subscription — One Org

Each subscription covers one (1) Salesforce organization registered at the time of subscription ("Registered Org"). Access to additional Salesforce organizations requires either purchase of additional org add-ons at current rates, or execution of a Partner Agreement with RootLogic.

3.2 Internal Use Only

The Platform and all AI agent outputs are licensed for your internal business use only. You may use the Platform to manage and improve your own Registered Org.

4. Prohibited Use

You expressly agree that you will NOT:

Resale and White-Labeling

• Resell, sublicense, white-label, or otherwise make the Platform available to third parties as your own product or service
• Present RootLogic's AI agents (including Doris) as your own proprietary AI or under any brand other than RootLogic
• Represent RootLogic technology as developed by you or any party other than RootLogic Consulting LLC

Commercial Third-Party Use

• Use the Platform to provide billable services, consulting, or advisory services to third-party clients without a signed RootLogic Partner Agreement
• Use Platform outputs to generate revenue from third parties without a Partner Agreement
• Use the Platform in any Salesforce org other than your Registered Org without written authorization from RootLogic

Reverse Engineering and IP Theft

• Attempt to reverse engineer, decompile, or derive the source code or underlying logic of any AI agent, system prompt, constitutional layer, or proprietary algorithm
• Attempt to extract, copy, or replicate agent system prompts or the Mythos Constitutional Layer
• Build a competing product based on or derived from RootLogic's proprietary AI architecture
• Scrape, harvest, or extract training data or AI outputs for use in training competing AI models

Unauthorized Access and Misuse

• Access the Platform using credentials not issued to you or share login credentials outside your organization
• Attempt to access features, data, or functionality beyond your subscription tier
• Attempt to manipulate, jailbreak, or alter AI agent behavior through prompt injection, persona substitution, or false authority claims
• Use the Platform outside of project management for any purpose it is not designed for

5. Your Responsibility to Verify AI Outputs and Data

The quality of AI outputs depends directly on the quality and accuracy of the data you provide. You are responsible for verifying all AI outputs before acting on them.

5.1 Verifying AI Outputs

• Review all AI recommendations before implementing them in any project, system, or environment
• Verify the accuracy of all AI-generated analysis, risk assessments, plans, and reports
• Apply professional judgment to all AI suggestions before acting on them
• Not implement any AI recommendation in a Salesforce production environment without appropriate human review by a qualified professional

5.2 Verifying Data Inputs

• Ensure all project data, milestones, budgets, and stakeholder information you enter is accurate and current
• Verify the accuracy of any data imported from Salesforce, M365, or other connected systems
• Not enter false, misleading, or fabricated information into the Platform

RootLogic AI agents do not make autonomous changes to Salesforce production environments. All production changes require explicit human authorization. RootLogic accepts no liability for AI outputs that are inaccurate as a result of inaccurate, incomplete, or false input data.

6. Org Binding and Usage Limits

6.1 Org Registration

At subscription creation, you must register your Salesforce Organization ID. The Platform binds your subscription to this Registered Org. RootLogic AI agents will only provide advice and analysis related to your Registered Org.

6.2 Token Allocations

Each subscription plan includes a daily token allocation for AI features. Tokens consumed in excess of your daily allocation are billed at the applicable overage rate. Unused tokens do not roll over to the next day.

6.3 Usage Monitoring

RootLogic monitors Platform usage to ensure compliance with subscription terms, detect unauthorized commercial use, and enforce usage limits. RootLogic reserves the right to audit your Platform usage upon reasonable notice to verify compliance.

7. Subscription and Billing

7.1 Subscription Fees

You agree to pay all fees associated with your chosen subscription plan. Fees are charged in advance on a monthly basis.

7.2 Overage Charges

Usage above your plan's included daily token allocation will be billed at the applicable overage rate, billed monthly in arrears.

7.3 Price Changes

RootLogic may change subscription fees with thirty (30) days advance notice. Continued use after the price change constitutes acceptance of the new pricing.

7.4 Refunds

Subscription fees are non-refundable except as required by law or as expressly stated by RootLogic in writing.

7.5 Payment Failure

If payment fails, RootLogic may suspend your access to the Platform. Access will be restored upon successful payment.

8. Intellectual Property

The Platform and all its components are the exclusive intellectual property of RootLogic Consulting LLC, including all AI agent identities, names, mandates, and personalities (Doris and all specialist agents); the Mythos Constitutional Layer; all agent system prompts and instructions; all source code, algorithms, and proprietary methods; and all trademarks, service marks, and brand assets.

These Terms grant no license to RootLogic's intellectual property beyond the limited use license in Section 3. All rights not expressly granted are reserved.

You retain ownership of all data you input to the Platform. RootLogic uses your data solely to provide the Platform services. AI agent outputs generated in response to your specific requests are provided for your use subject to these Terms. RootLogic retains all rights in the underlying methods and architectures.

9. AI Agent Disclaimers

All AI agent outputs, including recommendations from Doris and all specialist agents, are provided for informational purposes only and do not constitute professional advice.

RootLogic AI agents do not make autonomous changes to Salesforce production environments. All production changes require explicit human authorization. RootLogic does not guarantee that any agent output is accurate, complete, or appropriate for your specific situation. AI agent outputs are not a substitute for the advice of qualified Salesforce architects, security professionals, legal counsel, or financial advisors.

10. Confidentiality

You acknowledge that the Platform contains trade secrets and proprietary information. You agree to maintain the confidentiality of any non-public Platform information, not share login credentials outside your authorized users, and notify RootLogic immediately at security@rootlogicconsulting.com of any suspected security breach.

Agent system prompts, the Mythos Constitutional Layer, and underlying AI configurations are confidential trade secrets. Any attempt to access, extract, or expose this information is a material breach of these Terms.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOTLOGIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES; DAMAGES ARISING FROM DECISIONS MADE BASED ON AI AGENT RECOMMENDATIONS; CHANGES MADE TO SALESFORCE ENVIRONMENTS BASED ON PLATFORM OUTPUTS; OR ANY THIRD-PARTY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM.

ROOTLOGIC'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless RootLogic Consulting LLC, its officers, directors, employees, agents, and successors from any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Platform in violation of these Terms; your use of AI agent recommendations or outputs; your provision of services to third parties using Platform outputs without a Partner Agreement; any unauthorized commercial use of the Platform; or your violation of any applicable law or regulation.

14. Term and Termination

These Terms begin on the date you first access the Platform and continue until your subscription is terminated. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

RootLogic may terminate your access immediately and without notice if you violate Section 4 (Prohibited Use), fail to pay applicable fees after notice, or engage in any fraudulent, abusive, or illegal activity.

Upon termination, all licenses granted herein immediately terminate, you must cease all use of the Platform, and Sections 8, 9, 11, 12, 13, and 16 survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in Michigan, except that either party may seek injunctive relief in any court of competent jurisdiction for IP violations.

16. Changes to These Terms

RootLogic may amend these Terms by providing thirty (30) days advance notice by email or prominent platform notice. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
